These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and AMS Digital ("Company", "we", "us", or "our"), governing your use of the website https://pricing.amsdigital.in/ and all services offered therein.

1. Acceptance of Terms
By accessing this website, submitting a consultation request, signing a service agreement, or making any payment, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of this website and our services immediately.
2. Services Offered
AMS Digital provides the following professional services as described on this website:
- Search Engine Optimisation (SEO) — Local, Growth, and Enterprise tiers
- Social Media Marketing — Starter, Growth, and Authority tiers
- Website Design — Starter, Business, and Premium tiers
- Website Development — Starter, Business, and Enterprise tiers
- Digital Marketing / PPC — Google Ads, Meta Ads, and omnichannel campaigns
- Brand Building — Identity, guidelines, collateral, and brand film
- E-Commerce Marketing — Google Shopping, Performance Max, marketplace ads
- Content Marketing — SEO blogs, white papers, email newsletters
- Website Maintenance — WordPress care, security, updates, and uptime monitoring
- Combo Bundles and Custom Packages as quoted
The specific scope, deliverables, timelines, and pricing for each engagement shall be confirmed in a separate Service Agreement or Proposal issued by AMS Digital.
3. Pricing & Payments
All pricing displayed on this website is indicative and denominated in Indian Rupees (INR) unless explicitly stated otherwise. Final pricing is confirmed in a written proposal or invoice.
- Monthly retainer services are billed in advance at the beginning of each billing cycle.
- One-time project payments (design, development, branding) are billed as per the agreed milestone schedule — typically 50% upfront and 50% on delivery.
- All prices are exclusive of applicable taxes (GST) unless otherwise stated. GST will be charged at the prevailing rate.
- Advertising spend (Google Ads, Meta, LinkedIn, etc.) is paid directly by the Client to the respective platforms and is not included in AMS Digital's management fees.
- Third-party tool costs (System.io paid plans, premium plugins, SMS credits, video production) are the Client's responsibility unless explicitly bundled.
- Invoices are due within 7 (seven) calendar days of issuance. Late payments attract interest of 1.5% per month on the outstanding balance.
4. Engagement, Lock-In & Cancellation
- All monthly service engagements carry a minimum lock-in period of 3 (three) calendar months from the commencement date.
- Following the lock-in period, either party may terminate by providing 30 days' written notice via email to sales@amsdigital.in.
- Cancellation during the lock-in period will result in the Client being liable for the full fees for the remaining lock-in term.
- Pro-rated refunds for unused services (post lock-in) will be processed within 15 business days of the effective termination date.
- One-time project fees are non-refundable once the project has commenced, unless AMS Digital fails to deliver as agreed.
- AMS Digital reserves the right to suspend services immediately upon non-payment of invoices overdue by more than 14 days.
5. Client Obligations
To enable AMS Digital to deliver services effectively, the Client agrees to:
- Provide timely access to required accounts, platforms, credentials, and assets (logo, content, brand guidelines).
- Review and approve deliverables, proofs, and campaign materials within the agreed turnaround time (typically 3–5 business days).
- Ensure that all content, trademarks, and materials provided to AMS Digital are owned by or properly licensed to the Client.
- Maintain sufficient advertising budget (where applicable) to enable campaign execution as planned.
- Provide accurate business information and promptly notify AMS Digital of any changes that may affect campaign strategy.
- Assign a primary point of contact for timely communication and approvals.
6. Intellectual Property
- Client-Owned Materials: All content, logos, trademarks, and proprietary materials provided by the Client remain the exclusive property of the Client.
- AMS Digital Deliverables: Upon receipt of full and final payment, AMS Digital assigns to the Client all rights to the final delivered work product (website files, design assets, branding materials, content).
- Proprietary Tools & Processes: AMS Digital's internal methodologies, templates, tools, scripts, and processes remain the sole intellectual property of AMS Digital and are not transferred to the Client.
- Portfolio Rights: AMS Digital reserves the right to showcase completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing prior to project commencement.
7. Confidentiality
Both parties agree to keep confidential all proprietary, business-sensitive, and non-public information disclosed during the course of the engagement. This obligation survives termination of the agreement for a period of 2 (two) years. AMS Digital will not share your campaign data, performance metrics, or business strategies with third parties without your prior written consent, except as required by law.
8. Limitation of Liability
- AMS Digital's total cumulative liability to the Client for any claim shall not exceed the total fees paid by the Client to AMS Digital in the 3 months immediately preceding the claim.
- In no event shall AMS Digital be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of goodwill, even if advised of the possibility of such damages.
9. Service Level Agreement (SLA)

SLA timelines are contingent on the Client providing all required materials and approvals on time. AMS Digital is not liable for delays caused by the Client's failure to respond or provide assets.
10. Prohibited Use
Clients and website visitors agree not to:
- Use this website or AMS Digital's services for any unlawful, fraudulent, or deceptive purpose.
- Attempt to gain unauthorised access to any part of the website or related systems.
- Engage AMS Digital for campaigns promoting illegal products/services, misinformation, hate speech, or content that violates platform advertising policies.
- Resell, sublicense, or white-label AMS Digital's services without prior written consent.
11. Third-Party Platforms
AMS Digital manages campaigns on third-party platforms including Google, Meta, LinkedIn, System.io, WordPress, and others. AMS Digital is not responsible for changes to these platforms' algorithms, advertising policies, pricing structures, or terms of service that may affect campaign performance or deliverables. AMS Digital will use commercially reasonable efforts to adapt strategies in response to such changes.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Delhi, India. The Courts of Delhi shall have exclusive jurisdiction for any non-arbitrable matters.
13. Modifications to Terms
AMS Digital reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of services after any such changes constitutes your acceptance of the revised Terms.
